TandemStride Terms of Use and End User License Agreement

These Terms of Use and End User License Agreement (the "Terms") apply to the use of the online interfaces, mobile applications, software, community features, and properties owned and controlled by TandemStride, Inc. ("TandemStride"), including the https://tandemstride.com website (the "Site"), the TandemStride mobile application, TandemStride Connect, Communities, and the services available to users through them ("Service" and "Services"). "Communities" means TandemStride's peer-support community features, including daily check-ins, journal prompts, posts, comments, reactions, tags, reporting, blocking, and related interactive features made available through the Services. Communities may include user-generated content visible to other users and may be supported by human review, automated tools, AI-enabled tools, service providers, and safety escalation workflows. These Terms include the end user license terms that govern Your download, installation, access, and use of any TandemStride mobile application. "User," "You," "Your," and similar terms refer to any user who accesses or uses the Site and/or Services. Your compliance with these Terms is a condition to Your use of the Site and/or Services.

In concise and simple language, here is a summary of these Terms (only the terms outside of this section are legally controlling and binding):

  • These are the rules to use this site, our mobile application, Communities, TandemStride Connect, and our related services. Also, be sure to read our Privacy Policy to understand the details of how we use data we may collect about You. If You don't like or agree to these Terms and/or our Privacy Policy, do not use our Site, mobile application, Communities, TandemStride Connect, or Services.

  • We own this website, mobile application, software, and related services; do not copy or use our services, software, or content without our permission.

  • Our platform connects trauma survivors with peer support networks and may include Communities where users can share posts, comments, journal responses, reactions, and check-ins. You agree to use our services in a legal way and follow all rules and regulations that govern Your practice. TandemStride does not become Your patient's or client's healthcare provider, mental health provider, emergency responder, or professional advisor through the Services.

  • You are solely responsible for how You use TandemStride, including how you collect fees from Your patients or clients.

  • We will email You occasionally, and You're okay with that.

  • Don't attempt to hack the Site, mobile application, software, or Services. Don't share Your username and password with anyone. You are part of an overall secure software solution.

  • We try our best to provide the best experience, but do not guarantee that our services will be available all the time.

  • Only use TandemStride, Communities, and our brand the way they're intended to be used. We reserve the right to remove content and suspend, terminate, restrict, or delete Your account for misuse.

  • You control access to Your account and its data. Sign in to Your account to request deletion of Your account and data, subject to legal, HIPAA, contractual, security, safety, audit, backup, moderation, and technical retention exceptions described in our Privacy Policy.

  • As we are not a healthcare provider or legal firm, we cannot provide medical, professional, crisis, emergency, or legal advice. Communities are for peer support and are not medical care, mental health care, crisis services, or emergency services.

  • We may use human review, automated tools, and artificial intelligence (“AI”)-enabled tools to help provide, support, secure, personalize, evaluate, improve, and moderate TandemStride, including Communities.

  • If Communities content indicates potential self-harm, suicidal ideation, acute distress, threats, abuse, or other safety concerns, we may escalate it as described in these Terms and our Privacy Policy, but we do not guarantee monitoring, crisis response, or emergency response.

  • We have limited liability if something bad happens when You use the site.

  • We may occasionally update these terms, so check back regularly.

PLEASE READ THESE TERMS CAREFULLY. BY CLICKING "ACCEPT," SELECTING "CONTINUE," CREATING AN ACCOUNT, DOWNLOADING OR INSTALLING ANY TANDEMSTRIDE MOBILE APPLICATION, ACCESSING THE SITE, USING TANDEMSTRIDE CONNECT, USING COMMUNITIES, OR USING ANY SERVICES, YOU AGREE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS, YOU MAY NOT ACCESS OR USE THE SITE, MOBILE APPLICATION, TANDEMSTRIDE CONNECT, COMMUNITIES, OR SERVICES. BY ACCEPTING THESE TERMS OR BY ACCESSING OR USING THE SITE, MOBILE APPLICATION, TANDEMSTRIDE CONNECT, COMMUNITIES, OR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, INCLUDING THE PRIVACY POLICY REFERENCED BELOW. IF YOU ARE NOT ELIGIBLE OR DO NOT AGREE TO THESE TERMS, THEN YOU DO NOT HAVE PERMISSION TO ACCESS OR USE THE SITE, MOBILE APPLICATION, TANDEMSTRIDE CONNECT, COMMUNITIES, OR SERVICES.

As a condition of using the Site, mobile application, TandemStride Connect, Communities, or Services, You also agree to the terms of the TandemStride Privacy Policy and its region-specific annexes, as they may be changed from time to time (the "Privacy Policy") that specify how we collect and handle Your information. Our Privacy Policy, which is incorporated herein by reference, is located at https://tandemstride.com/privacy-policy/. You agree that Your use of any Services is subject to the Privacy Policy, including its disclosures regarding Communities, AI-enabled tools, service providers, Protected Health Information, account deletion, and data retention.

Your use of the Services, including the Site, mobile application, TandemStride Connect, Communities, posting, commenting, reacting, reporting, messaging, and other interactive features, is subject to the TandemStride Acceptable Use Policy available at https://tandemstride.com/acceptable-use-policy, any Community Guidelines made available by TandemStride, and any related in-app notices or rules, each of which is incorporated into these Terms by reference. You must comply with the Acceptable Use Policy when using the Services. TandemStride may remove content, restrict access, suspend or terminate accounts, or take other action described in the Acceptable Use Policy if TandemStride determines that a user, account, or content violates these Terms, the Acceptable Use Policy, applicable law, or the intended purpose of the Services.

1. Ownership of the Site

All pages within this Site, the mobile application, TandemStride Connect, Communities, software, and any material made available by TandemStride for download are the property of TandemStride or its licensors or suppliers, as applicable. The Site, mobile application, TandemStride Connect, Communities, software, and Services are protected by the United States and international copyright and trademark laws. The contents of the Site, mobile application, TandemStride Connect, Communities, and Services, including without limitation the files, documents, text, photographs, images, audio, video, software, interfaces, features, functionality, and any materials accessed through or made available for use or download through the Services ("Content") may not be copied, distributed, modified, reproduced, published, or used, in whole or in part, except for purposes authorized or approved in writing by TandemStride. 

2. Services Description; Mobile Application

TandemStride provides a purpose-built peer-to-peer platform dedicated to supporting individuals and their families following traumatic injuries. The Services include the TandemStride Mobile App, TandemStride Connect Peer Admin Tool, Communities, and related features, functionality, content, software, and services, which facilitate virtual peer support by connecting trauma survivors with peers who have overcome similar challenges. The TandemStride Mobile App is licensed, not sold, to You under these Terms. 

The TandemStride Mobile App allows Survivors and Mentors associated with Your organization to engage in intake processes, facilitate chat conversations between Survivors, Mentors, and Admins, and, where enabled, participate in Communities and related peer-support features. 

The TandemStride Connect application provides a specific instance for your organization to view Survivors, Mentors, and Admins to manage users associated with your organization. This allows for visibility into profiles of each user and facilitates matching of Mentors and Survivors. 

Communities may allow users to participate in daily check-ins, journal prompts, posts, comments, reactions, tags, reporting, blocking, and related peer-support interactions. Community features may include user-generated content visible to other users and may be supported by human review, automated tools, AI-enabled tools, service providers, and safety escalation workflows.

3. Users

To use this Site, mobile application, TandemStride Connect, Communities, or Services with a registered account ("User"), You must agree to comply with all laws, medical or other board rules, or other rules and regulations applicable to You when using the Services. Your relationship with individuals who use the Services through Your account (defined as individuals who may be Your patients or clients) ("Patients") is directly between You and the Patients. The Patients will never have a provider/patient-type relationship with TandemStride. TandemStride does not practice medicine or any other licensed profession and offers no medical, crisis, emergency, or other professional services. 

User is solely responsible for all agreements, consents, notices and other interactions with Patients and other consumers, including any consents, notices, permissions, clinical protocols, safety protocols, communications, or permissions needed for the User's Patients or other consumers to use the Services or participate in Communities. Without limiting the generality of the foregoing, User is solely responsible for all billings and collections from Patients and other consumers, and TandemStride shall have no liability whatsoever to User concerning any amounts owed by any Patient or other consumers. 

Except as expressly permitted under an applicable Services Agreement, Business Associate Agreement, in-app workflow, or other written agreement with TandemStride, User agrees not to include any identifiable Patient information whatsoever (name, diagnosis, email, or any other protected health information identifier) in any communication with TandemStride. As stated above and repeated for emphasis: TandemStride does not become any User's Patient's healthcare provider, mental health provider, emergency responder, or professional advisor through the Services unless expressly provided in a separate written agreement.

4. Independent Professional Judgment

The User will use the Site and Services only in accordance with applicable standards of good professional practice. While software products such as the Services may improve the quality of service that User and its personnel offer to Patients, many factors, including the provider/patient relationship can affect a patient outcome, and with intricate and interdependent technologies and complex decision-making it is often difficult or impossible to accurately determine what the factors were and in what proportion they affected an outcome. 

User shall be solely responsible for its use of the Site and Services, and the provision of services to User's Patients. In this regard, User releases TandemStride and waives all potential claims against TandemStride as a result of the User's use of the Site and Services, and the provision of services to User's Patients. 

5. Electronic Communications

You consent to receive communications from us electronically. You agree that all agreements can be entered into and signed electronically in accordance with applicable law, including through in-app prompts, buttons, checkboxes, account flows, and other electronic acceptance methods, and all notices, disclosures, and other communications that we provide to You electronically satisfy any legal requirement that such notice or other communications be in writing. 

6. Site, Mobile Application, and Services Access; Security and Restrictions; Passwords; Accounts

You are prohibited from violating or attempting to violate the security of the Site, mobile application, TandemStride Connect, Communities, or Services, including, without limitation, (a) accessing data not intended for Your use or logging onto a server or an account which You are not authorized to access; or (b) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; or (c) accessing or using the Site, mobile application, TandemStride Connect, Communities, Services, or any portion thereof without authorization, in violation of these Terms or violation of applicable law. 

You may not use any scraper, crawler, spider, robot or other automated device, process, or means of any kind to access or copy data on the Site, mobile application, TandemStride Connect, Communities, or Services, deep-link to any feature or content on the Site, mobile application, TandemStride Connect, Communities, or Services, bypass our robot exclusion headers or other measures we may use to prevent or restrict access to the Site, mobile application, TandemStride Connect, Communities, or Services. 

You may not introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful. 

Violations of system or network security may result in civil or criminal liability. TandemStride will investigate occurrences that may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations. You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of this Site or any activity being conducted on this Site. 

While the TandemStride software is a secure solution, You are also a part of its security. It is Your responsibility to: use a strong password and not share it; keep Your computer operating system and browser updated; use anti-virus and firewall software (and whitelist TandemStride); and not use TandemStride in a public place unless You can be assured there are no eavesdroppers. You agree to be fully responsible for all activities occurring under Your user ID. 

Each individual User is required to have their own account. Use of that account is for that specific individual. You agree to notify us immediately of any unauthorized access to or use of your user ID or account or any other breach of security. We reserve the right to remove users and disable any account(s) that are being used by more than one user. We also may block any user who violates this policy from creating a new account. 

TandemStride reserves the right to cooperate fully with any law enforcement authorities or court order requesting or directing TandemStride to disclose the identity of anyone posting, publishing, or otherwise making available any materials that are believed to violate these Terms of Service. BY CLICKING "ACCEPT" OR ACCESSING THE SITE AND/OR USING THE SERVICES, YOU AGREE TO HOLD TANDEMSTRIDE HARMLESS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY TANDEMSTRIDE DURING OR AS A RESULT OF ITS INVESTIGATIONS AND/OR FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER TANDEMSTRIDE OR LAW ENFORCEMENT AUTHORITIES. 

7. License and Access; Mobile Application; Termination by TandemStride

Subject to Your compliance with these Terms and Your payment of any applicable fees, TandemStride or its content providers grant You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and make use of the TandemStride Services and, if applicable, to download, install, and use the TandemStride mobile application on a mobile device owned or controlled by You, strictly in accordance with these Terms and any applicable documentation. The TandemStride mobile application and Services are licensed, not sold, to You. In the event You have entered into a separate Platform Subscription Agreement or Master Services Agreement with TandemStride (the "Services Agreement"), the terms of the Services Agreement shall also apply to Your use of the Site and the Services. In the event of a conflict between the Services Agreement and these Terms, the terms of the Services Agreement shall prevail. 

All rights not expressly granted to You in these Terms are reserved and retained by TandemStride or its licensors, suppliers, publishers, rights holders, or other content providers. The TandemStride Site, mobile application, software, Communities, TandemStride Connect, or any part of any Service, may not be reproduced, duplicated, copied, sold, resold, visited, reverse engineered, decompiled, disassembled, modified, translated, adapted, sublicensed, leased, distributed, published, transferred, made available, framed, mirrored, or otherwise exploited for any commercial purpose except as expressly authorized in writing by TandemStride. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of TandemStride without express written consent. You may not use any meta tags or any other "hidden text" utilizing TandemStride's name or trademarks without the express written consent of TandemStride. You may only use the Services as intended for professional services and as permitted by law. TandemStride may provide updates to the mobile application or Services, and such updates will be deemed part of the Services and subject to these Terms. TandemStride reserves the right to terminate Your account, remove or restrict content, suspend or restrict access to any feature, and revoke any licenses granted by TandemStride if You do not comply with these Terms. 

The Services are based in the State of Ohio in the United States and are provided for access and use only by persons located in the United States unless TandemStride expressly authorizes otherwise. If You access the Services from outside the United States, You are responsible for compliance with local laws.

If You download the TandemStride mobile application from the Apple App Store, Google Play, or another app marketplace, You also agree to comply with all applicable app store terms, conditions, and usage rules. These app stores are not parties to these Terms and are not responsible for the Services, support, maintenance, claims, or any obligations of TandemStride under these Terms.

8. Termination of Account by the User; Account Deletion

If You desire to terminate or request deletion of Your account, You must log in to Your account and follow the account deletion process under account settings or any other process made available by TandemStride. Account deletion may delete or deactivate Your account and certain information from active systems, subject to legal, HIPAA, contractual, security, safety, audit, backup, moderation, investigation, dispute, fraud-prevention, and technical retention exceptions described in our Privacy Policy. Community Content You submitted may be removed from active display or deactivated, but copies may remain in backups, audit logs, safety records, reports, moderation records, legal records, provider systems, or records retained for legally permitted purposes. 

9. Accuracy and Integrity of Information

Although TandemStride attempts to ensure the integrity and accuracy of the Site and the Content on the Site, it makes no representations, warranties or guarantees whatsoever as to the correctness or accuracy of the Site and Content thereon. It is possible that the Site could include typographical errors, inaccuracies or other errors, and that unauthorized additions, deletions, and alterations could be made to the Site by third parties. If an inaccuracy arises, please inform TandemStride at support@tandemstride.com so that it can be corrected. Information contained on the Site may be changed or updated without notice. 

10. Links to Other Sites

TandemStride makes no representations whatsoever about any other website that You may access through this Site. TandemStride neither endorses nor accepts any responsibility for any content or use of a third-party website. If You decide to access any of the third-party sites linked at this Site, You do this entirely at Your own risk. 

11. User Content, Virtual Support Rooms, and Communities

The Services may include a virtual support room ("Virtual Support Room") where Patients wait before beginning a session and where You may post information and links to other sites. The Services may also include Communities and other features where Users may submit, upload, post, display, transmit, react to, comment on, report, block, or otherwise make available content, including posts, journal responses, comments, daily check-ins, reactions, tags, reports, links, files, and related submissions (collectively, "User Content" and, to the extent submitted through Communities, "Community Content"). Just like the waiting room in a physical office, anyone with the proper link can enter Your Virtual Support Room and view User Content posted there. User Content submitted through Communities may be visible to other users, community members, TandemStride personnel, service providers acting on TandemStride's behalf, and, where applicable, authorized care team members. You are solely responsible for any User Content You post, submit, or allow to be posted or submitted through the Services.

Any content You upload to the Site, Virtual Support Room, Communities, mobile application, TandemStride Connect, or Services, such as agreements, contracts, consents, notices, advice, recommendations, posts, journal responses, comments, reactions, reports, files, videos, images, external website links, or other information must not: (1) be defamatory, abusive, libelous, unlawful, obscene, threatening, harassing, fraudulent, pornographic, sexually explicit, sexually suggestive, exploitative, or harmful, or encourage criminal, unethical, self-harm, suicide, eating disorders, violence, abuse, or dangerous behavior, (2) constitute hate speech, slurs, discriminatory content, harassment, bullying, threats, or targeted abuse, (3) contain unsolicited medical advice, clinical instructions, treatment recommendations, or other professional advice, particularly in response to content marked or reasonably understood as not seeking advice, (4) misrepresent medical, clinical, safety, legal, or other professional information as established fact, (5) disclose another person's personal information, health information, contact information, image, likeness, story, or identity without permission, (6) violate or infringe the privacy, publicity, copyright, trademark, trade dress, trade secrets, intellectual property, confidentiality, or other rights of any person or entity, (7) be spam, promotional, commercial, solicitation-based, false, misleading, or fraudulent, (8) attempt to identify, contact, scrape, profile, or collect information about other users outside the intended operation of the Services, or (9) contain or transmit a virus or any other harmful components. The User is solely responsible for obtaining all necessary agreements and consents and providing all required notices to Patients and others who will view or utilize User Content. 

By uploading, posting, submitting, or otherwise making available User Content and any other information to the Site, mobile application, TandemStride Connect, Communities, or Services, You represent and warrant to TandemStride that: (1) You have the legal right to grant permission for use by the Services and TandemStride of User Content and other information, (2) You have the legal right and authorization to upload, post, submit, or otherwise make available all User Content and other information uploaded, posted, submitted, or otherwise made available by You through the Services, and (3) Your User Content and conduct comply with these Terms, the Privacy Policy, the Acceptable Use Policy, any Community Guidelines, and applicable law. 

TandemStride does not own any of the User Content You upload, post, submit, or otherwise make available through the Services. You hereby grant to TandemStride a non-exclusive, worldwide, royalty-free, transferable and sublicensable right and license to host, store, reproduce, display, transmit, format, modify for technical purposes, moderate, remove, restrict, analyze, and otherwise use User Content to operate, provide, secure, moderate, support, evaluate, and improve the Site and Services; comply with law; enforce these Terms; protect users and the platform; and exercise rights described in our Privacy Policy. This license includes the right to make User Content available to service providers who process User Content on TandemStride's behalf under written agreements with TandemStride. For User Content that includes personal information, health-related information, or Protected Health Information, TandemStride will not use identifiable User Content for marketing, advertising, or optional AI model training or fine-tuning unless TandemStride provides any required notice and obtains any required consent. TandemStride is and shall be under no obligation to respond to any Submission.

TandemStride does not regularly review all User Content but does reserve the right (but not the obligation) to monitor, screen, filter, review, moderate, edit, remove, restrict, disable, preserve, or take other action regarding any User Content submitted to the Site, mobile application, TandemStride Connect, Communities, or Services. TandemStride may use human review, automated tools, AI-enabled tools, service providers, and care team review to support moderation, safety, platform integrity, peer matching, support, analytics, and service improvement. You grant TandemStride the right to use the name, username, profile information, or other identifier that You submit in connection with any User Content as needed to operate the Services. You agree not to use a false email address, impersonate any person or entity, or otherwise mislead as to the origin of any User Content. You are and shall remain solely responsible for the content of any User Content You post to the Site, mobile application, TandemStride Connect, Communities, or Services or provide to Patients or other consumers, including content posted to Your Virtual Support Room. TandemStride and its affiliates take no responsibility and assume no liability for any User Content submitted by You or any third party. 

TandemStride may use AI-enabled tools and service providers to operate, support, secure, personalize, evaluate, improve, and moderate the Services. These tools may help TandemStride summarize information, support peer matching, improve user experience, assist TandemStride personnel in responding to user requests, detect misuse, moderate User Content, and evaluate app performance. TandemStride will describe material AI-enabled processing in the Privacy Policy and any applicable in-app notice or consent screen. TandemStride will not use identifiable personal information, health-related information, or Protected Health Information for optional AI model training or fine-tuning unless TandemStride provides any required notice and obtains any required consent.

TandemStride may escalate User Content or conduct that indicates potential self-harm, suicidal ideation, acute distress, abuse, threats, or other safety concerns to trained TandemStride personnel, community health workers, licensed clinical staff, emergency contacts, healthcare providers, health plans, emergency services, law enforcement, or other appropriate persons or entities where TandemStride determines that escalation is appropriate or permitted by law, contract, or consent. TandemStride does not guarantee monitoring, intervention, crisis response, emergency response, or prevention of harm.

TandemStride may provide tools to report content or users and to block other users. Reports are not shown to the reported user, but TandemStride may use report information internally to review content, enforce these Terms, protect users, comply with law, maintain audit and safety records, and prevent misuse of the Services. Blocking may limit the visibility of content within the Services but may not remove all prior interactions, records, safety logs, reports, moderation records, or information retained for legal, security, audit, care, compliance, or platform-integrity purposes.

You agree not to contact other users through unsolicited e-mail, telephone calls, mailings or any other method of communication. Unless TandemStride expressly authorizes otherwise in writing and implements any required consent, notice, age-gating, and privacy controls, Communities are intended for users who are 18 years of age or older. To comply with COPPA, TandemStride is not allowed to collect or store information from a minor without any legally required consent and controls. Thus, while using the platform you agree to coordinate care only with the Minor's parent or guardian (e.g. do not invite a Minor directly) and not cause TandemStride to store information directly from the Minor. 

You agree to defend, indemnify (to the extent permitted by law) and hold TandemStride harmless from and against all third party claims, damages, and expenses (including reasonable attorneys' fees) arising from or relating to Your use of this Site, mobile application, TandemStride Connect, Communities, or Services, Your violation of applicable law, Your violation of these Terms, Your interactions with other users, Your disclosure of another person's information without permission, Your infringement or misappropriation of intellectual property or privacy rights, Your attempt to evade moderation, reporting, blocking, safety, or security controls, or any User Content or other information You post or allow to be posted to the Site, mobile application, TandemStride Connect, Communities, Services, or a Virtual Support Room. 

12. Disclaimer of Warranties

TANDEMSTRIDE DOES NOT WARRANT THAT ACCESS TO OR USE OF THE SITE, MOBILE APPLICATION, TANDEMSTRIDE CONNECT, COMMUNITIES, OR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR WILL MEET YOUR REQUIREMENTS, OR THAT DEFECTS IN THE SITE, MOBILE APPLICATION, TANDEMSTRIDE CONNECT, COMMUNITIES, OR SERVICES WILL BE CORRECTED. THE SITE, MOBILE APPLICATION, TANDEMSTRIDE CONNECT, COMMUNITIES, AND SERVICES, INCLUDING ANY CONTENT, USER CONTENT, AI-ENABLED OUTPUTS, MODERATION OUTPUTS, OR INFORMATION CONTAINED WITHIN OR GENERATED THROUGH THEM, ARE PROVIDED "AS IS," WITH ALL FAULTS, WITH NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY OF INFORMATION, QUIET ENJOYMENT, AND TITLE/NON-INFRINGEMENT. YOU ASSUME TOTAL RESPONSIBILITY AND RISK FOR YOUR USE OF THIS SITE, MOBILE APPLICATION, TANDEMSTRIDE CONNECT, COMMUNITIES, SERVICES, USER CONTENT, AI-ENABLED OUTPUTS, MODERATION OUTPUTS, AND LINKED WEBSITES. TANDEMSTRIDE DOES NOT WARRANT THAT FILES AVAILABLE FOR DOWNLOAD WILL BE FREE OF VIRUSES, WORMS, TROJAN HORSES OR OTHER DESTRUCTIVE PROGRAMMING. YOU ARE RESPONSIBLE FOR IMPLEMENTING PROCEDURES SUFFICIENT TO SATISFY YOUR NEEDS FOR DATA BACK UP AND SECURITY. 

13. No Advice or Services

As part of the Services, TandemStride provides a software platform for peer support, communications, Communities, and related support workflows. TandemStride does not provide any medical, mental health, crisis, emergency, legal, or other professional advice. User Content, Community Content, peer support, matching, posts, comments, check-ins, prompts, reactions, tags, summaries, moderation outputs, AI-enabled outputs, and other Services are not a substitute for professional medical advice, diagnosis, treatment, crisis support, emergency services, or independent professional judgment. TandemStride makes no representations or warranties whatsoever relating to any medical, professional or legal issues associated with User, the User's Patients, or goods or services offered by User, including but not limited to any compliance obligations with any country, state or federal authority. The User should seek legal counsel regarding any legal and compliance issues and should not rely on any materials or content associated with the Site or Services in determining User's compliance obligations under the law. 

14. Limitation of Liability

TANDEMSTRIDE AND ANY THIRD PARTIES MENTIONED ON THIS SITE, MOBILE APPLICATION, TANDEMSTRIDE CONNECT, COMMUNITIES, OR SERVICES ARE NEITHER RESPONSIBLE NOR LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM LOST PROFITS, LOST DATA, PERSONAL INJURY, EMOTIONAL DISTRESS, BUSINESS INTERRUPTION, USER CONTENT, COMMUNITY CONTENT, AI-ENABLED OUTPUTS, MODERATION OUTPUTS, SAFETY ESCALATION DECISIONS, OR FAILURE TO MONITOR, ESCALATE, OR RESPOND) ARISING OUT OF OR RELATING IN ANY WAY TO THE SITE, MOBILE APPLICATION, TANDEMSTRIDE CONNECT, COMMUNITIES, SERVICES, YOUR USE OF THE SERVICES, CONTENT OR INFORMATION CONTAINED WITHIN OR GENERATED THROUGH THE SERVICES, AND/OR ANY LINKED WEBSITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY AND WHETHER OR NOT ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE, MOBILE APPLICATION, TANDEMSTRIDE CONNECT, COMMUNITIES, SERVICES, AND/OR LINKED WEBSITES IS TO STOP USING THE SITE AND/OR THOSE SERVICES. 

TO THE EXTENT ANY ASPECTS OF THE FOREGOING LIMITATIONS OF LIABILITY ARE NOT ENFORCEABLE, THE MAXIMUM LIABILITY OF TANDEMSTRIDE TO YOU WITH RESPECT TO YOUR USE OF THIS SITE IS $500 (FIVE HUNDRED DOLLARS) PROVIDED YOU HAVE A PAID ACCOUNT. 

15. Dispute Resolution

In the event of any dispute or claim relating to the Site, mobile application, TandemStride Connect, Communities, the Services, or these Terms, You agree to the resolution of such dispute in the state or federal courts located in Cleveland, Ohio, and you hereby consent to the jurisdiction of any such court. These Terms shall be governed, interpreted and enforced in accordance with the internal laws of the State of Ohio (excluding its conflicts of laws principles). 

YOU FURTHER AGREE, TO THE EXTENT PERMITTED BY APPLICABLE LAW, TO WAIVE ANY RIGHT TO TRIAL BY JURY WITH RESPECT TO ANY CLAIM, COUNTERCLAIM OR ACTION ARISING FROM OR RELATING TO THESE TERMS. 

16. Revisions; General

These Terms, the Privacy Policy, the Acceptable Use Policy, any Community Guidelines, any in-app consents or notices, and related policies constitute the entire agreement between TandemStride and You pertaining to the subject matter hereof. In its sole discretion, TandemStride may from time-to-time revise and update these Terms by updating this posting or by providing in-app notice, electronic notice, or another notice that TandemStride determines is appropriate. All revisions and updates are effective when we post them or otherwise notify You, and apply to all access to and use of the Site, mobile application, TandemStride Connect, Communities, and Services thereafter. For material changes, TandemStride may require You to affirmatively accept the updated Terms before continuing to access or use certain Services, including Communities. You should, therefore, periodically visit this page to review the current Terms so You are aware of any revisions, as they are binding on You. Certain provisions of these Terms may be superseded by expressly designated legal notices or terms located on particular pages within this Site, in-app notices or consents, or by a services agreement between You and TandemStride. Your continued use of the Site, mobile application, TandemStride Connect, Communities, or Services following revisions signifies Your acceptance and agreement to such revisions. 

TandemStride reserves the right, in its sole discretion, to terminate, suspend, restrict, disable, or remove Your access to all or part of this Site, mobile application, TandemStride Connect, Communities, or Services, with or without cause, and with or without notice. 

In the event that any provisions of these Terms of Service are held by a court or other tribunal of competent jurisdiction to be unlawful, void, or unenforceable, such provisions shall be deemed severable and will not affect the validity and enforceability of any remaining provisions. In addition, in such event any unlawful, void, or unenforceable provision shall be deemed to be modified to the extent necessary to (1) render it valid and enforceable and (2) give the fullest effect possible to the original intent of the provision. 

17. Indemnification

You agree to defend, indemnify (to the extent permitted by law) and hold TandemStride harmless from and against all third-party claims, damages and expenses (including reasonable attorney's fees) against or incurred by TandemStride arising out of the use or operation of the Site and Services due to: a) Your breach of these Terms or a violation of applicable law; b) Your use or access of the Site, mobile application, TandemStride Connect, Communities, or Services; c) access by anyone accessing the Site, mobile application, TandemStride Connect, Communities, or Services using Your user ID or password; d) personnel of User; e) any Patient or any other third party or person claiming damage by virtue of a familial or financial relationship with such a Patient; f) any User Content or other information You post, submit, upload, display, share, transmit, or allow to be posted, submitted, uploaded, displayed, shared, or transmitted through the Services; g) Your interactions with other users; h) Your disclosure of another person's information without permission; or i) Your attempt to evade moderation, reporting, blocking, safety, or security controls. 

To the extent applicable, User will obtain TandemStride's prior written consent to any settlement or judgment in which User agrees to or which otherwise provides or implies any finding of fault of TandemStride or any defect in the Site or Services or requires TandemStride to make any payments, bear any obligations or admit any liability unless You obtain TandemStride's prior written approval. TandemStride will promptly notify User in writing of any claim subject to this indemnification, and promptly provide User with the information reasonably required for the defense of the same. However, without limiting Your obligations described above in this Section 17, TandemStride reserves the right to appear and defend any actions in which it is named as a party. 

18. HIPAA Compliance

TandemStride will use commercially reasonable efforts to maintain industry standard safeguards reasonably designed to protect the confidentiality and integrity of, and to prevent unauthorized access to or use of Customer Data. All "Protected Health Information" or "PHI" (as such term is defined under the Health Insurance Portability and Accountability Act of 1996, Pub. L. No. 104-191, and its implementing regulations at 45 C.F.R. Parts 160, 162, and 164, as amended by the Health Information Technology for Economic and Clinical Health ("HITECH") Act of the American Recovery and Reinvestment Act of 2009, Pub. L. No. 111-5 (collectively, "HIPAA")) accessible to TandemStride will be stored using appropriate administrative, technical, and physical safeguards as required by applicable law. 

TandemStride shall use PHI consistent with HIPAA and the Business Associate Agreement between TandemStride and User as agreed to in the "Business Associate Agreement" available at https://tandemstride.com/baa. TandemStride may use service providers and subcontractors, including infrastructure, support, analytics, moderation, and AI-enabled service providers, to provide the Services, provided that TandemStride will use appropriate contractual safeguards, including a Business Associate Agreement where required. Upon the termination of this Agreement, and consistent with the terms and conditions of the Business Associate Agreement, User may direct TandemStride to return User's PHI that TandemStride has in its possession, or as may be required, User may direct TandemStride to destroy User's PHI that TandemStride has in its possession to the extent that destruction is feasible. 

19. PHI Sharing for Virtual Peer Support Initiatives

User may disclose to TandemStride the PHI of trauma patients and other relevant patient populations for the purpose of conducting virtual peer support initiatives, Communities, patient outreach, peer matching, support, moderation, safety escalation, and related healthcare operations, in each case as permitted under HIPAA, the Business Associate Agreement, any applicable Services Agreement, and applicable law, for the purpose of the following:

(A) Post-Discharge Education Campaigns; (B) Retrospective Peer Recruitment and Connection activities; (C) Patient outreach and engagement activities; (D) Program evaluation and quality improvement; (E) In support of patient bedside education by authorized TandemStride staff; (F) peer matching, Communities operations, community moderation, reporting, blocking, safety escalation, and related support workflows; and (G) Other related healthcare operations as described in any future agreement. 

For each initiative, TandemStride shall:

(A) Use such PHI solely for the purposes described in the applicable agreement; (B) Limit its use of PHI to the minimum necessary to accomplish the intended purpose; (C) Implement administrative, technical, and physical safeguards to protect the PHI from unauthorized use or disclosure; (D) Maintain records of communications with patients, moderation actions, reports, and safety escalation activity as required or permitted by the applicable agreement, law, and TandemStride's retention practices; (E) Cease contact with any patient who opts out of communications; (F) Use AI-enabled tools or service providers with PHI only as permitted by the applicable agreement, Business Associate Agreement, Privacy Policy, and applicable law; and (G) Return or destroy PHI that is no longer needed for the purposes authorized in this Agreement, to the extent feasible and consistent with applicable law, contract, legal holds, audit, safety, backup, and technical retention requirements.
